This Agreement is established and executed on this date in 2025, between us (hereinafter designated as the “Service Provider”) and the Client, who are hereinafter referred to individually as a “Party” and collectively as the “Parties.”) WHEREAS, the Service Provider is a professional skilled in delivering flash-based creative projects as outlined herein; WHEREAS, the Client desires to hire the Service Provider to make a pseudo transfer as detailed herein; and NOW, THEREFORE, in recognition of the mutual agreements, the Service Provider and the Client pledge and consent as follows:

1. Scope of Work

The Service Provider commits to rendering services “FLASH WORK 1” for the Client. This is acknowledged as a unique creative endeavor demanding significant time and resources, distinct from a basic or routine task.

2. Terms of Payment

• Total Project Cost: The overall cost for the services will be jointly determined in writing by both parties prior to the project’s start.

• Advance Payment: Project work will begin strictly after receiving an advance payment. *Starter Liberty: To foster mutual trust, the Client is permitted to start the project with an advance sum they find agreeable, which will be applied toward the total project cost.

• Milestone Payments: The project will advance in stages, with further work depending on milestone-based payments agreed by both Parties.

• Final Payment: The remaining balance is payable upon project completion and prior to the release of final deliverables.

3. Payment Methods

Payments may be made through any of the following options:

• Cryptocurrency: USDT, BTC, and BNB

4. Delivery Method & Ownership

• Partial Delivery: As part of the standard process, the Service Provider will provide up to 75% of the completed flash work for review and approval before the final payment is due.

• Final Deliverables: The complete project files and deliverables will be released to the Client only after the full final payment is received.

• Ownership & Rights: Upon complete payment of all agreed amounts, all usage and reproduction rights for the final deliverables will transfer to the Client.

5. Work Policy & Communication

• No Free Trials: The Service Provider upholds a firm no-free-work policy. Creative tasks will not proceed without financial commitment to prevent loss of time and resources.

• Mode of Work: The Service Provider operates remotely. In-person collaboration is not possible, with all necessary support, updates, and communication conducted virtually.

• Communication & Approvals: All project-related correspondence, including documents, written exchanges (email, chat, updates, and feedback), requires the Client to offer prompt and clear approvals and feedback to prevent project delays.

6. Cancellation & Refund Policy

• If the Client opts to cancel the project after work has started and an advance has been paid, any possible refund will be assessed based on work completed up to the cancellation point. The advance payment is non-refundable to account for initial resource allocation and time spent.

7. Governing Law

This Agreement will be regulated and interpreted under the laws of India. Any disputes related to or arising from this Agreement will fall under the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
